Our Legal Practices

Commercial and Business Litigation

We work with a diverse group of companies and individuals in business disputes in state and federal court litigation, through trial and appeal, as well as in mediation and arbitration.  Some of the commercial matters that we handle are partner and member disputes; contract disputes, claims of unfair competition and tortious interference, business fraud, as well as numerous other types of business disputes.  We have several years of experience in identifying, seeking and obtaining the necessary and proper legal and equitable relief and remedies required by our clients, including, but not limited to, temporary restraining orders, preliminary and permanent injunctions, declaratory judgments, specific performance and monetary damages.

Employment Law

We represent small to medium size businesses on a variety of employment law related issues, including preventative counseling and guidance on compliance with state and federal law requirements.  The matters on which we counsel our clients include wage and hour, restrictive covenants and trade secrets, policies and procedures, employment agreements and other related issues.

In addition to counseling clients on compliance related issues, when a dispute arises, we represent clients in a variety of employment matters.  We regularly appear in state and federal courts on matters involving:

  • Complex litigation, such as class and collective actions
  • Wage and hour cases including defense of collective and class actions

We value the relationships that we develop with our clients and work closely with them to develop the best strategy for their specific needs.

Outside General Counsel Services

In many circumstances, an attorney does not step into a situation until a corporate client is faced with a problem.  This often results in increased legal fees, costs, time and energy.  By being proactive, however, and retaining an attorney to act as the company’s outside general counsel, a business can avoid many major problems before they arise.

When we act as outside general counsel for our business clients, we become familiar with their businesses and how they operate.  When we are familiar with the business, as well as the individual owners, members, shareholders, etc., we can create better strategies for protection of the business and determine issues that may come up.  We work with our clients to come up with a plan that will work for their particular business and offer monthly fee arrangements so that the client knows what to expect financially with no surprises.

We offer our business clients a scope of services that can include the following:

  • Review of corporate structure and possibly restructure to ensure maximum legal protection
  • Draft employee handbooks and corporate policy on risk management
  • Draft employment agreements, non-disclosure agreements and non-competition agreements
  • Draft, review and negotiate commercial contracts
  • Advise regarding day to day operational issues
  • Devise the best legal means to implement business goals
  • Counsel officers and directors on fiduciary duties
  • Regular meetings to keep clients updated and lines of communication open
  • Trademark and other intellectual property protection
